# Say on Pay

Say on pay gives shareholders a periodic vote on executive compensation, advisory in the US and binding in some other jurisdictions. Failed votes are rare and embarrassing, and they reliably produce pay-plan redesigns even where the vote isn't binding. Its measurable effect has been more on the structure of pay — more performance conditions, longer vesting — than on its level.
