A proxy statement is the document sent before a shareholder meeting setting out what will be voted on — directors, auditor, executive pay, shareholder proposals. It contains the full compensation tables, related-party transactions and board independence disclosures, which makes it the most revealing governance document a company publishes and the one investors most consistently ignore.
