Securities Exchange Act of 1934

The Securities Exchange Act of 1934 governs trading after issuance: it created the SEC, mandates ongoing reporting like the 10-K and 10-Q, and contains Rule 10b-5, the general anti-fraud provision under which insider trading and most securities fraud is prosecuted. Between the two Acts, 1933 covers selling securities and 1934 covers everything afterwards.
