Proxy Voting

Also called: shareholder voting, proxy advisor, ISS Glass Lewis

Proxy voting is exercising shareholder votes on directors, pay and resolutions, usually by instruction rather than in person. Because index funds must hold every company, their votes carry enormous weight and are cast across thousands of meetings, which gives proxy advisers real influence over outcomes. Pass-through voting, letting underlying investors direct their share, is the industry's response to that concentration.
