Regulation D is the exemption that lets companies raise capital privately without SEC registration, and it's how nearly all venture and private equity funding is actually done. Rule 506(b) permits an unlimited raise from accredited investors with no general advertising; 506(c) allows advertising but requires verifying accreditation rather than accepting a self-certification.
